Agreement
These terms form an agreement between you (the merchant) and the operator of YouDuShop. If you are accepting them on behalf of a company or other legal entity, you confirm that you are authorised to do so.
The service
YouDuShop provides hosted tools for building and operating an online store, including storefront hosting, product and order management, checkout integration, shipping configuration, marketing features and analytics. Features may be added, changed or withdrawn as the platform develops; we will not materially reduce a paid plan's core functionality during a paid term without notice.
Accounts
- You must provide accurate account information and keep it up to date.
- You are responsible for activity under your account and for the actions of staff accounts you create.
- You must keep credentials confidential, and notify us promptly of any suspected unauthorised access.
- You must be legally able to enter into a contract, and where required, hold the licences or registrations applicable to your business.
Fees, billing and refunds
- Plans are billed in advance on a monthly or yearly basis as selected at checkout.
- Yearly billing is discounted as advertised at the time of purchase.
- Subscriptions renew automatically unless cancelled before the end of the current term.
- Taxes are your responsibility where applicable and may be added to invoices.
- Transaction fees, if any, are as stated on the pricing page; promotional rates apply only for the stated period.
- Unless required by law or expressly stated, fees already paid are non-refundable. Cancellation stops future renewals and takes effect at the end of the current term.
Acceptable use
You may not use YouDuShop to:
- Offer goods or services that are illegal in your jurisdiction or in any jurisdiction you sell to.
- Infringe intellectual property — including counterfeit or unauthorised branded goods.
- Engage in fraud, deceptive marketing, phishing or any form of consumer deception.
- Process payments for prohibited or high-risk activities in violation of a payment provider's rules, or attempt to circumvent a provider's review or underwriting.
- Distribute malware, attempt to gain unauthorised access to the platform, or interfere with other merchants' stores.
- Send unsolicited bulk messages in violation of applicable anti-spam laws.
- Misrepresent your identity, business or the nature of what you sell.
We may suspend or terminate a store that breaches these rules, and may be required to cooperate with payment providers, card networks and law enforcement.
Your content and data
You keep ownership of the content and data you upload or generate in your store. You grant us the licence needed to host, process and display it in order to provide the service. You are responsible for ensuring you have the rights to the content you use.
Third-party services
Payment providers, shipping carriers, domain registrars and other integrations are separate services with their own terms and fees. We are not responsible for their decisions, availability or acts, including a provider declining to onboard or deciding to terminate your account.
Availability and disclaimers
We work to keep the platform available and performant, but it is provided on an "as available" basis without warranties of uninterrupted or error-free operation. You are responsible for your own business decisions, pricing, tax obligations and legal compliance.
Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising from the service is limited to the fees you paid for the service in the twelve months before the claim. We are not liable for indirect, incidental or consequential losses, including lost profits, lost sales or lost data, except where the law does not allow such a limitation.
Suspension and termination
- You may cancel your subscription at any time; access continues until the end of the paid term.
- We may suspend or terminate access for material breach of these terms, non-payment, or where required by law or by a payment provider.
- On termination, you may export your data within the period stated by us before it is deleted.
Changes to these terms
We may update these terms as the platform changes. Material changes will be notified in advance through the platform or by email. Continuing to use the service after the effective date means you accept the updated terms.
Governing law
The governing law and dispute-resolution forum are as set out in the service agreement between you and us. Where no separate agreement applies, they are those of the operator's principal place of business.
